The Royal Borough of Windsor & Maidenhead holds 100% of the shares in RBWM Property Company Ltd and as such retains full control of the company. The governance structure in place ensures robust management of the company and protection of the council’s financial and reputational investment.
The Memorandum and Articles of Association and Shareholder Agreement set out how the company will be run and the decisions reserved for the shareholder. The shareholder function is primarily executed through Royal Borough of Windsor & Maidenhead cabinet.
They give clear direction on the appointment of directors, to the board, and the requirements of an Annual General Meeting. Board appointment’s will be reviewed on an annual basis, but would assume a three year term, renewable with a maximum term of no more than nine years.

It will be essential to measure performance outside of the normal budgetary performance and this will be done through delivery plans established at the beginning of each financial year.
