I would like to make the following Freedom of Information Act / Public Records request.

Secondary activity

For the period from 1 January 2020 onwards to date:

1. Details of all secondary sales and purchases of any private funds interests, including but not limited to private equity, private equity, real estate or infrastructure.
2. Any internal report or Purchase and Sale Agreement executed by you for the purchase or sale of any private market fund interests. (Example, you may have sold “Blackstone VII” on 1st January 2022 and would have executed a sale agreement for this or would have internal reports concerning this).
3. If you intend to redact any PSAs relevant to 4. above, then please do not redact: the price in relation to NAV that the interest or interests were transacted at. (i.e. what was the price).
4. If you intend to redact any PSAs relevant to 4. above, then please do not redact: the identity of the counterparty with whom the interest(s) were transacted (i.e. who was the buyer or seller).
5. Any internal board reports of recommendations relating to the possible secondary purchase or secondary sale of any fund interests. (Example: an internal board report recommending the secondary sale of specific fund interests).
6. Irrespective of whether you have in fact completed the purchase or sale of any interests, we request disclosure of any binding LOIs you may have received or binding LOIs you have made for private fund interests. (Example: an unsolicited offer from an intermediary or buyer for a fund you are invested in).
7. Any prospectus or memorandum circulated by any GP or intermediary acting for the GP, in relation to any “GP-led” transaction or “Continuation vehicle” for funds you are invested in, whether or not you decided to participate.
8. Any confirmation letter circulated by any GP or intermediary acting for the GP, in relation to any “GP-led” transaction or “Continuation vehicle” for funds you are invested in. (Example, if you participated in a GP-led deal, the confirmation letter the GP sends to you confirming your allocation and fees payable).

Relevant documents shall include, inter alia, any emails, letters or contracts held by you.

If any costs or fees are applicable, please provide me with an estimate of costs before any costs are incurred. We do not accept liability for any costs that are not explicitly authorised beforehand.

This request is in multiple parts. I request that each separate request be treated individually and severably such that relevant data is disclosed to the greatest extent possible.
