Co-opted Members

Some boards have explicit reference to co-opted members in their composition and such arrangements permit the inclusion of members who have expertise to offer to the business function of the board.  

Co-opting members is simply a mechanism for bringing someone onto the board at any time of the year where the usual process would involve an election at the annual general meeting.  A co-opted member is an adviser to the board with no voting rights.

Co-opted members are people who are chosen by the board to represent a specific area of interest or issue of consideration. These representatives are not elected members of the board, and are appointed because of their level of knowledge and experience.

The co-opted members make a very useful contribution to discussions and help make the correct decisions in relation to important matters.  Co-opted members are appointed for their special skills and knowledge that will add diversity, complement the range of skills and expertise to the board membership and assist with the issues and opportunities the business is facing.
